Please read these Terms carefully before using PostSlate. By creating an account or using our Services, you agree to be bound by these Terms of Service. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use our Services.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Dapper Chimp, LLC, a Michigan limited liability company doing business as PostSlate ("PostSlate," "we," "us," or "our"), governing your access to and use of the PostSlate platform, website located at postslate.com, and all related services (collectively, the "Services").

By clicking "I Agree," creating an account, uploading content, purchasing credits, or otherwise accessing or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any policies, guidelines, or amendments incorporated herein by reference.

We may modify these Terms at any time. If we make material changes, we will notify you by email to the address associated with your account or through a prominent notice within the Services at least 30 days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.


2. Definitions

"Account"A registered user profile on PostSlate, created upon sign-up and tied to a unique email address.
"Content"Any video files, audio files, metadata, or other materials you upload, submit, or otherwise provide to the Services for processing.
"Credits"Prepaid processing units purchased by you and consumed upon the successful completion of a Processing Job.
"Output"The materials generated by the Services from your Content, including but not limited to: VTT caption files, audio description scripts, and MP3 audio description voiceover files.
"Processing Job"A single video processing request submitted through the Services, which generates one or more Output files.
"Sub-Processors"Third-party AI and infrastructure providers used by PostSlate to operate the pipeline that generates Output from your Content.
"WCAG"The Web Content Accessibility Guidelines published by the World Wide Web Consortium (W3C), as referenced by applicable accessibility laws.

3. Description of Services

PostSlate is an AI-powered SaaS platform that accepts video file uploads and automatically generates a compliance package designed to support video accessibility. The output of a completed Processing Job consists of: AI-generated captions in one or more broadcast and web formats; a timestamped audio description (AD) script delivered as both plain text and PDF; an AI-synthesized audio description voiceover (MP3); and, for web-mode jobs, a duck-mixed audio master combining the AI voiceover with the source audio. The specific set of deliverables for any given job depends on the delivery mode selected at upload, the language set selected, and the audio characteristics of the uploaded video. Refer to the in-product delivery view for the authoritative list of files produced by a specific job.

The Services are provided as a software tool to assist in the video accessibility workflow. PostSlate does not provide legal, compliance, or accessibility consulting services. The Services are not a substitute for professional accessibility review or legal counsel.

PostSlate reserves the right to modify, suspend, or discontinue any feature or aspect of the Services at any time, with reasonable notice where practicable. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.


4. Eligibility & Account Registration

Eligibility

You must be at least 18 years of age to use the Services. By creating an Account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you further represent that you have authority to bind that entity.

Account Registration

You must create an Account to access the Services. You agree to provide accurate, current, and complete registration information and to update that information as necessary. You are solely responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must notify PostSlate immediately at hello@postslate.com of any unauthorized access to or use of your Account.

Team Accounts

Where your plan permits team or organizational access, you are responsible for all users you authorize to access your Account. Each such user must individually agree to these Terms. You are responsible for ensuring compliance with these Terms by all authorized users and are liable for their actions taken through your Account.

One Account Per User

Each individual user may maintain only one Account. You may not create multiple Accounts to circumvent account limitations, suspensions, or Credit restrictions.


5. Credits & Billing

Credit Packs

PostSlate sells Credits as one-time purchases through prepaid Credit packs, as described on the pricing page at postslate.com/pricing. Payments are processed by our payment processor, Stripe. PostSlate does not offer recurring subscription plans, monthly billing, or automatic renewal at this time. Each Credit pack purchase is a discrete transaction; no recurring charges are initiated against your payment method.

Credit Consumption

Credits are consumed upon submission of a Processing Job. The number of Credits required for a given job is determined by video duration, language selection, and other parameters disclosed in-product before submission. A job that fails due to a technical error on our end will be refunded automatically. A job that completes successfully — including a job that completes with a subset of deliverables ("partial delivery") — is not eligible for an automatic refund, because PostSlate has incurred the upstream AI processing cost and Output has been delivered.

Credit Expiry

Credits purchased through PostSlate do not expire. Promotional Credits granted by PostSlate (including the Credits granted at account creation) are subject to any expiry terms disclosed at the time of grant.

No Refunds

All payments for Credits are final and non-refundable, except as required by applicable law, as expressly stated herein, or as automatically refunded by the system in the case of a job that terminally fails before delivery. In the event of a verified billing error, please contact us at hello@postslate.com within 30 days of the charge; we will review the claim and issue a Credit adjustment or refund at our discretion.

Price Changes

PostSlate may modify Credit pack pricing at any time. Price changes apply only to future Credit pack purchases; previously purchased Credits retain their original purchase price effectively. Pricing displayed on the pricing page at the moment you initiate a purchase is the price you will be charged.

Taxes

All fees are exclusive of applicable taxes. You are responsible for all taxes, duties, or levies imposed by any authority in connection with your use of the Services, except for taxes on PostSlate's net income.

Account Closure

You may close your Account at any time by contacting hello@postslate.com. Because PostSlate does not bill on a recurring basis, no cancellation is required to stop future charges; you may simply stop using the Services. Closing an Account is irreversible and results in deletion of all Content, Output, and unused Credits, with no refund of unused Credit balances.


6. Your Content & License Grant

You Own Your Content

You retain all ownership rights in and to the Content you upload to the Services. These Terms do not transfer any intellectual property rights in your Content to PostSlate. PostSlate's role is that of a processor: we handle your Content on your behalf solely to deliver the Services you have requested.

License to PostSlate

By uploading Content, you grant PostSlate a limited, non-exclusive, worldwide, royalty-free license to access, store, process, transmit, and display your Content solely for the purpose of: (a) performing the Services and generating Output; (b) diagnosing and resolving technical issues; and (c) improving service reliability and error monitoring. This license terminates upon deletion of your Content or closure of your Account, subject to the file retention policy described in Section 11.

Your Representations Regarding Content

By uploading Content, you represent and warrant that:

No Training Use by PostSlate

PostSlate does not use your Content or Output to train, fine-tune, or otherwise improve PostSlate's own proprietary models or algorithms. For information on how our Sub-Processors may interact with your Content, see Section 10.


7. AI-Generated Outputs & Ownership

Ownership of Outputs

As between you and PostSlate, you own the Output generated from your Content through the Services, subject to these Terms and any third-party restrictions that may apply. PostSlate does not claim ownership of the VTT files, AD scripts, or MP3 voiceovers generated from your Content.

License Back to PostSlate

You grant PostSlate a limited license to store and make available your Output files through the Services for download during the applicable retention period described in Section 11. PostSlate does not otherwise reproduce, distribute, or publicly display your Output.

AI Authorship & Copyright Notice

The Output is generated through an automated, AI-driven pipeline. Under U.S. Copyright Office guidance in effect as of the Effective Date of these Terms, AI-generated content without sufficient human authorship may not be eligible for copyright protection. The extent to which you may hold copyright in the Output will depend on the degree of human creative input you apply — for example, through editing, revising, or curating the generated scripts. PostSlate makes no representations regarding the copyrightability of any specific Output. You are encouraged to consult with qualified legal counsel regarding the intellectual property status of your Output.

Accuracy of Outputs

Outputs are generated by machine learning models and may contain inaccuracies, omissions, hallucinations, or errors. You are solely responsible for reviewing, editing, and validating all Output before publication or distribution. PostSlate is not liable for any errors in Output or any downstream consequence arising from reliance on unreviewed AI-generated content.


8. AI-Generated Content Disclosure

The Services employ artificial intelligence and machine learning technologies throughout the processing pipeline. The following components of the Output are AI-generated:

Upstream Provider-Side Marking

PostSlate applies the upstream machine-readable watermark provided by its text-to-speech sub-processor (ElevenLabs) to the standalone AI voiceover output (ad-voiceover.mp3). This upstream marking is intended to support compliance with EU AI Act Article 50(2) provider-side marking obligations for synthetic audio.

For the mixed-audio deliverable (ad-mixed.mp3, generated in web delivery mode), which combines the AI voiceover with portions of the source audio through audio processing including mixing, ducking, and loudness normalization, the persistence and detectability of the upstream watermark may degrade through standard audio processing operations. You are responsible for re-applying any machine-readable AI-marking, visible badge, or audible disclaimer required at the point of publication of the mixed-audio deliverable.

Customer-Side Downstream Disclosure

In jurisdictions or contexts where disclosure of AI-generated content is required — including but not limited to: the European Union AI Act, Article 50(2) (provider-side marking) and Article 50(4) (deployer-side disclosure), effective in relevant part from August 2026; the California AI Transparency Act (AB 942), effective January 2026; the Colorado Artificial Intelligence Act; applicable U.S. Federal Trade Commission (FTC) guidance; and any other federal, state, provincial, or local law, regulation, rule, or order now in effect or hereafter enacted that requires disclosure of AI-generated content — you are responsible for making any required disclosures to your own end users, audiences, broadcasters, platforms, distributors, regulators, or any other downstream party regarding the AI-generated nature of any content produced using the Services and used or distributed by you.

The upstream marking applied by PostSlate at the production layer does not, on its own, satisfy any deployer-side, distributor-side, platform-side, or publisher-side disclosure obligation that may apply at the point your final content is shown to end users.

Note on AI Voice Content: The voiceover outputs are synthesized using AI-generated voices licensed through ElevenLabs. These voices are not real persons. You may not represent AI-synthesized voiceovers as the voice of a specific, identified living person without that person's written consent.


9. Accessibility & Compliance Disclaimer

⚠️ Important — Please Read Carefully. This section contains material limitations on PostSlate's representations regarding legal compliance. If you are using PostSlate to fulfill accessibility obligations under the ADA, Section 508, the European Accessibility Act, or any other law or regulation, you must read and understand this section fully.

Design Intent

PostSlate's Services are designed to generate outputs consistent with the technical specifications of WCAG 2.1 Level AA, the accessibility standard referenced by the Americans with Disabilities Act (ADA) Title II, Section 508 of the Rehabilitation Act, and the European Accessibility Act (EAA). The pipeline follows established audio description and caption formatting guidance, including broadcast-standard caption timing, line-length constraints, and description-first scripting principles.

No Guarantee of Legal Compliance

However, PostSlate does not warrant, represent, or certify that any Output will satisfy any particular legal requirement, meet any specific accessibility standard, or be sufficient to bring any person or organization into compliance with the ADA, Section 508, the EAA, or any other accessibility, disability rights, or civil rights law or regulation at the federal, state, or local level.

Compliance with accessibility laws is a legal determination that depends on many factors beyond the technical quality of a caption or audio description file, including but not limited to: the nature and context of the content, the accuracy of descriptions relative to the video's specific subject matter, the applicable enforcement standard, and the requirements of any specific court, agency, or settlement agreement. PostSlate outputs are tools, not certifications.

Human Review Required — Mandatory In-Product Review Checkpoint

Human review of all Output is REQUIRED prior to any publication, broadcast, submission, or downstream distribution. This is not a recommendation — it is a contractual obligation that attaches whenever you use any Output produced by the Services.

The Services implement an in-product "Mark as Reviewed" checkpoint. After processing of a Processing Job is complete, your Output deliverables are placed in a locked state in the in-product delivery view. You access an in-product timeline editor, where you may preview, edit, and refine the captions and audio description timing produced by the pipeline. When you have finished reviewing the Output, you click the in-product "Mark as Reviewed" control, which unlocks the download buttons and ZIP package for the job.

By clicking "Mark as Reviewed," you represent and warrant that you have reviewed all Output for accuracy, completeness, broadcast-spec conformance, factual correctness relative to the underlying video content, suitability for any accessibility-compliance use case for which you intend to use the Output, and fitness for your specific use case. Any claim arising from your use, publication, broadcast, distribution, or submission of Output after clicking "Mark as Reviewed" is subject to your indemnification obligations in Section 16.

If you subsequently edit the Output through the in-product editor and submit a regeneration of the deliverables, the "Mark as Reviewed" status is automatically cleared, and you must review and re-mark the regenerated Output before proceeding.

The contractual review obligation in this Section 9 attaches to your use of any Output regardless of the technical means by which you accessed that Output — whether you accessed the Output through the in-product "Mark as Reviewed" workflow, via direct API access, via signed-URL retrieval, via screen recording, via browser developer tools, or by any other means. Bypassing the in-product review control does not shift responsibility for Output accuracy to PostSlate; the contractual review obligation in this Section 9 attaches in all cases.

AI-generated transcriptions may mishear words, miss technical terminology, mistime cue boundaries, or produce captions that exceed readable speed. AI-generated audio descriptions may omit, mischaracterize, incorrectly time, or hallucinate descriptions of visual content. Detection of these errors prior to publication is your contractual responsibility under this Section 9.

Not Legal Advice

Nothing in the Services, the Output, or these Terms constitutes legal advice. PostSlate is a software tool provider, not a law firm. For guidance on your specific legal obligations under any accessibility law, you should consult qualified legal counsel.


10. Third-Party Sub-Processors

The PostSlate processing pipeline relies on the following third-party service providers ("Sub-Processors") to transform your Content into Output. By using the Services, you acknowledge and agree that your Content and associated data may be transmitted to and processed by these Sub-Processors in accordance with their respective terms of service and privacy policies.

PostSlate does not sell or share your Content with any party other than the Sub-Processors listed above, and only for the purpose of delivering the Services. Sub-Processor relationships are subject to change; we will update this section and notify you of material changes to Sub-Processors that affect how your Content is handled.

Specific Acknowledgment — Twelve Labs Data Use

By creating a PostSlate account and accepting these Terms, you specifically acknowledge and consent to the following data flow involving Twelve Labs, Inc.:

By creating an Account and accepting these Terms, you confirm that you have read this acknowledgment and that you accept the Twelve Labs data flow described above with respect to all Content you upload under the standard tier.

Enterprise Customers: If your organization requires contractual data processing restrictions beyond those described here — including restrictions on Twelve Labs' use of your video content — enterprise agreements with custom data handling terms are available. Contact hello@postslate.com.


11. File Retention & Deletion

PostSlate retains uploaded Content files and generated Output files in cloud storage for a period of 30 days from the date of the completed Processing Job. After 30 days, both the original Content and all associated Output files are automatically and permanently deleted from our storage systems. Job metadata (including job ID, status, and timestamps) may be retained for up to 12 months for account management, billing, and dispute resolution purposes.

You are responsible for downloading your Output files within the 30-day retention window. PostSlate is not liable for the loss of any files that were not downloaded prior to automatic deletion. We do not provide file recovery services after the retention period has elapsed.

You may request early deletion of your files at any time by contacting hello@postslate.com. Upon confirmed deletion, Credits used to generate the associated Output will not be refunded.


12. Prohibited Uses

You agree not to use the Services for any of the following purposes:

Violation of these prohibitions may result in immediate suspension or termination of your Account, forfeiture of unused Credits, and, where applicable, referral to law enforcement or regulatory authorities.


13. Intellectual Property

PostSlate, the PostSlate logo, the platform's underlying software, pipeline architecture, documentation, design, and all related intellectual property are the exclusive property of Dapper Chimp, LLC. Nothing in these Terms grants you any right, title, or license in or to PostSlate's intellectual property, except the limited right to access and use the Services as described herein.

If you believe that Content accessible through the Services infringes your copyright, please submit a DMCA notice to hello@postslate.com including: a description of the copyrighted work; the URL or location of the allegedly infringing material; your contact information; a statement of good faith belief; and your physical or electronic signature.


14. Disclaimer of Warranties

THE SERVICES, OUTPUTS, AND ALL CONTENT AND MATERIALS MADE AVAILABLE THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POSTSLATE AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; (B) WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE; (C) ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (D) ANY WARRANTY THAT OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY SPECIFIC USE; AND (E) ANY WARRANTY THAT THE SERVICES OR OUTPUTS WILL SATISFY ANY LEGAL, REGULATORY, OR COMPLIANCE REQUIREMENT, INCLUDING WCAG, ADA, SECTION 508, EAA, OR ANY OTHER ACCESSIBILITY STANDARD.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.


15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL POSTSLATE, DAPPER CHIMP, LLC, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, FAILURE TO MEET ANY LEGAL OR REGULATORY OBLIGATION, OR ANY COSTS OF PROCURING SUBSTITUTE SERVICES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES OR ANY OUTPUT, EVEN IF POSTSLATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

POSTSLATE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, REGARDLESS OF THE FORM OF ACTION AND WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO POSTSLATE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

THE FOREGOING LIMITATIONS APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT FULLY APPLY TO YOU.


16. Indemnification

You agree to defend, indemnify, and hold harmless PostSlate, Dapper Chimp, LLC, and their respective officers, directors, members, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

PostSlate reserves the right, at your expense, to assume exclusive defense and control of any matter for which you are required to indemnify us, in which case you will cooperate with our defense.


17. Privacy

Your use of the Services is also governed by PostSlate's Privacy Policy, available at postslate.com/privacy, which is incorporated into these Terms by reference. The Privacy Policy describes how PostSlate collects, uses, and shares information about you and your use of the Services.

Enterprise customers who require a Data Processing Agreement (DPA) for GDPR or CCPA compliance purposes may request one by contacting hello@postslate.com.


18. Termination

Termination by You

You may terminate your Account at any time by canceling your Subscription through Account settings and requesting account deletion at hello@postslate.com. Account deletion will result in permanent loss of all stored Content, Output, and unused Credits. Credits and prepaid fees are non-refundable upon voluntary account deletion.

Termination by PostSlate

PostSlate may suspend or terminate your Account and access to the Services immediately, without prior notice or liability, if we reasonably believe you have: (a) violated any provision of these Terms; (b) engaged in fraudulent, abusive, or illegal activity; (c) failed to pay any amounts owed; or (d) engaged in conduct that may harm PostSlate, its users, or any third party.

Effect of Termination

Upon termination of your Account for any reason: your right to access and use the Services will immediately cease; PostSlate will delete your Content and Output files within 30 days of termination in accordance with Section 11; and all provisions of these Terms that by their nature should survive termination shall survive, including Sections 7, 9, 13, 14, 15, 16, and 19.


19. Governing Law & Dispute Resolution

Governing Law

These Terms and any dispute arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles.

Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact PostSlate at hello@postslate.com and describe your dispute in reasonable detail. Both parties will attempt to resolve the dispute informally for a period of 30 days from the date of your notice.

Binding Arbitration

If the dispute is not resolved informally within 30 days, both parties agree to resolve the dispute through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Kent County, Michigan, or virtually if agreed by both parties. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND POSTSLATE EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY.

Small Claims Exception

Either party may bring an individual action in small claims court in Kent County, Michigan, if the claim qualifies. In addition, for individual consumer claims under ten thousand U.S. dollars ($10,000), you may elect to arbitrate in your home county under the AAA Consumer Arbitration Rules in lieu of Kent County, Michigan.

Jury Trial Waiver

TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.


20. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and PostSlate regarding the Services and supersede all prior negotiations, representations, warranties, and understandings.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver

PostSlate's failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision or any other provision in the future.

Assignment

You may not assign or transfer these Terms without PostSlate's prior written consent. PostSlate may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of substantially all assets.

Force Majeure

PostSlate will not be liable for any delay or failure to perform resulting from circumstances beyond our reasonable control, including acts of God, war, terrorism, labor disputes, government action, or failures of third-party infrastructure.

All legal notices to PostSlate must be sent in writing to hello@postslate.com. PostSlate may provide notices to you via the email address associated with your Account.

Relationship of the Parties

The relationship between you and PostSlate is that of independent contractors. Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship.
